1. Agreement

These Terms of Service govern your use of vexionlabs.com and any services provided by Vexion Labs LLC ("Vexion Labs", "we", "us"). By using this site or engaging our services, you agree to these terms.

2. Our services

Vexion Labs provides web development, automation, AI phone agents, and marketing services. Specific project scope, deliverables, timelines, and fees are defined in a separate written agreement or proposal, which controls if it conflicts with these terms.

3. Use of AI

Our services use artificial intelligence. AI touches information you and your customers provide, and AI can get things wrong. We review AI-assisted output, but you are responsible for reviewing final deliverables before they go live, and we do not warrant that AI-generated content is accurate or fit for a particular purpose.

4. Acceptable use

You agree not to misuse the site, attempt to breach its security, or use it for any unlawful purpose.

5. Intellectual property

Site content, branding, and code are owned by Vexion Labs or its licensors unless stated otherwise. Ownership of client project deliverables is governed by the applicable project agreement.

6. Disclaimer of warranties

The site and services are provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

7. Limitation of liability

To the fullest extent permitted by law, Vexion Labs is not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the site or services. Our total liability for any claim is limited to the amount you paid us for the service giving rise to the claim in the three months before the claim, or USD $100 if you paid nothing.

8. Indemnification

You agree to indemnify and hold Vexion Labs harmless from claims, damages, and legal fees arising out of your use of the site or services, or your violation of these terms or the rights of a third party.

9. Termination

We may suspend or terminate access to the site or services at our discretion, including for any breach of these terms.

10. Governing law and disputes

These terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Pennsylvania, unless a separate signed agreement provides otherwise.

11. Changes

We may update these terms; continued use after an update means you accept the revised terms.
